1. Definition of Confidential Information
For the purposes of this Agreement, "Confidential Information" shall include any information or material that has or could have commercial value or other utility in the business in which the Organization is engaged. Confidential Information includes, but is not limited to, technical data, trade secrets, know-how, research, product plans, products, services, customer lists and customers, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances, and other business information disclosed to Employee by the Organization, either directly or indirectly, in writing, orally or by drawings or inspection of parts or equipment.
2. Obligations of Employee
Employee agrees to:
(a) Maintain the confidentiality of the Confidential Information;
(b) Take all necessary measures to protect the confidentiality of the Confidential Information with at least the same degree of care that the Employee uses to protect their own confidential and proprietary information, but in no event less than a reasonable degree of care;
(c) Not disclose any Confidential Information to third parties without the prior written consent of the Organization;
(d) Not use any Confidential Information for any purpose other than as necessary to perform their duties as an employee of the Organization;
(e) Notify the Organization immediately upon discovery of any unauthorized use or disclosure of Confidential Information or any other breach of this Agreement by the Employee, and will cooperate with the Organization in every reasonable way to help the Organization regain possession of the Confidential Information and prevent its further unauthorized use or disclosure.
3. Exclusions from Confidential Information
Employee's obligations under this Agreement do not extend to information that is:
(a) Publicly known at the time of disclosure or becomes publicly known through no wrongful act or failure of the Employee;
(b) Discovered or created by Employee before disclosure by the Organization;
(c) Discovered or created by Employee through legitimate means; or
(d) Disclosed to Employee by a third party without breach of a confidentiality obligation of which Employee has knowledge.
4. Term
This Agreement shall commence on the Effective Date and shall continue in effect until the Confidential Information no longer qualifies as a trade secret or until terminated by either party upon thirty (30) days written notice to the other party.
5. Return of Materials
Upon termination of Employee's employment or upon written request of the Organization, Employee shall promptly return to the Organization all documents and other tangible materials representing the Confidential Information and all copies thereof.
6. No License
Nothing in this Agreement is intended to grant any rights to Employee under any patent, copyright, trade secret, or other intellectual property right of the Organization, nor shall this Agreement grant Employee any rights in or to the Confidential Information except as expressly set forth herein.
7. Remedies
Employee acknowledges that any unauthorized use or disclosure of the Confidential Information may cause irreparable damage to the Organization and that, in the event of such unauthorized use or disclosure, the Organization shall have the right to seek injunctive relief in addition to any other remedies available at law or in equity.
8. Miscellaneous
(a) Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of __, without regard to its conflicts of laws principles.
(b) Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter. This Agreement may not be amended or modified except by written agreement signed by both parties.
(c) Severability. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
(d) Waiver. The waiver by either party of any breach of this Agreement shall not waive any other or subsequent breach.
(e) Assignment. Neither party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other party.
