This Artificial Intelligence Addendum (“AI Addendum”) forms part of the agreement between Manatal (“Manatal”, “we”, “our”, or “us”) and the customer (“Customer”, “you”, or “your”) governing the use of the Manatal Recruitment Platform and any associated services (collectively, the “Services”).
Capitalized terms not defined in this AI Addendum have the meanings given to them in the applicable Terms and Conditions, Master Services Agreement, or other agreement governing the Services.
This AI Addendum applies solely to AI-powered functionality made available by Manatal.
Manatal provides AI-powered functionality to assist customers in performing recruitment and talent acquisition activities more efficiently.

For purposes of this AI Addendum:
“AI Feature” means any functionality within the Services that uses artificial intelligence, machine learning, natural language processing, or similar technologies.
“AI Output” means any content, recommendation, summary, transcript, ranking, score, insight, response, or other result generated by an AI Feature.
“Customer Data” means all information, documents, resumes, job descriptions, interview recordings, prompts, messages, personal data, and other information submitted by or on behalf of the Customer.
“Third-Party AI Provider” means any third-party service provider whose AI models or services are integrated into the Services.

Manatal may add, modify, enhance, or discontinue AI Features from time to time. The latest information on available AI Features is maintained in our public documentation.
AI Features are intended to support recruitment activities by assisting users in processing information, generating content, and improving productivity.
AI Features are designed to assist users and are not intended to replace human judgment or independent decision-making.
The Customer remains solely responsible for all recruitment, hiring, employment, and other business decisions.
Manatal is committed to providing appropriate transparency regarding AI Features.
Where required by applicable law, Manatal will implement appropriate transparency measures for AI Features. Depending on the functionality of the relevant AI Feature, these measures may include informing users when they are interacting with an AI system or receiving AI-generated outputs through the Services.
The transparency measures implemented by Manatal will depend on the intended purpose and functionality of the relevant AI Feature and may include product interfaces, user documentation, contractual documentation, or other appropriate communications.
Manatal designs AI Features to support human decision-making rather than replace it.
The Customer remains responsible for maintaining appropriate human oversight when using AI Features.

Certain AI Features may rely upon services provided by Third-Party AI Providers.

Where Third-Party AI Providers process Customer Data, Manatal requires such providers to process Customer Data in accordance with applicable contractual commitments and data protection obligations.
Manatal remains responsible for providing AI Features through the Services in accordance with the applicable agreement, including where Third-Party AI Providers are used to deliver part of the functionality.
AI Features process Customer Data solely to provide, maintain, and secure the requested functionality in accordance with the applicable agreement.
Processing of personal data remains subject to Manatal’s Privacy Policy and, where applicable, the Data Processing Addendum.
Customer Data remains the property of the Customer.
Where Third-Party AI Providers are used, Customer Data is processed only as necessary to provide the requested AI functionality and in accordance with applicable contractual commitments.
Manatal retains all intellectual property rights in the Services, including AI Features.
Nothing in this AI Addendum transfers ownership of Manatal’s technology, software, models, algorithms, or documentation.
Ownership of Customer Data remains with the Customer.
Subject to applicable law and third-party rights, the Customer may use AI Outputs generated through the Services for its internal business purposes.

Manatal maintains internal governance processes designed to support:
Manatal seeks to monitor developments in applicable AI laws and regulations, including Regulation (EU) 2024/1689 (EU AI Act).
Where required by applicable law, Manatal will implement additional measures for specific AI Features, including transparency, documentation, governance, risk management, conformity assessment, or other measures required under applicable AI laws.
Manatal’s AI governance framework is designed to support ongoing compliance with applicable AI laws as they evolve.
AI technology continues to evolve.
AI Features may change over time due to improvements in underlying models, product enhancements, or regulatory developments.
Manatal does not guarantee that any specific AI Feature will remain available indefinitely.
Manatal may modify AI Features to reflect updates to underlying AI models, changes made by Third-Party AI Providers, security improvements, performance enhancements, or applicable legal requirements.
Manatal reserves the right to suspend, modify, or discontinue any AI Feature where necessary to address legal, security, operational, or technical considerations.
Certain AI Features may be identified as Beta, Preview, Early Access, or Experimental.
Such features are provided for evaluation purposes and may be modified or withdrawn without notice.
Beta Features are provided “as is” and may contain defects or incomplete functionality.
AI Outputs are intended to support users in performing recruitment activities and should not be interpreted as factual, legal, employment, or professional determinations.
AI Outputs are generated using probabilistic machine learning models.
Accordingly:
AI Outputs are intended as informational assistance only and should not be treated as definitive assessments or decisions.
Manatal does not guarantee that AI Outputs will be accurate, complete, unbiased, or suitable for any particular purpose.
AI Features are provided to assist Customers in performing recruitment activities.
While Manatal implements governance measures designed to support the responsible use of AI, AI Outputs are generated using probabilistic models and should not be relied upon without appropriate human review.
Manatal does not provide legal, employment, or professional advice through AI Features.
Customers remain solely responsible for decisions made using AI Outputs.
Except as expressly provided in the applicable agreement, Manatal does not warrant that AI Features will operate without interruption, be error-free, or produce outputs that are accurate, complete, or suitable for every use case.
The Customer acknowledges that AI Features are intended to assist users and do not replace the Customer’s own professional judgment, internal policies, legal obligations, or recruitment processes.
The Customer remains solely responsible for reviewing and validating AI Outputs before relying upon them.
To the maximum extent permitted by applicable law, Manatal is not responsible for recruitment, employment, or business decisions made by the Customer based on AI Outputs.
Manatal shall not be responsible for any loss, claim, liability, or damage arising from the Customer’s use of AI Outputs without appropriate human review or in a manner inconsistent with this AI Addendum or applicable law.
This Section supplements, and does not replace, the limitation of liability provisions contained in the applicable agreement.
Manatal may update this AI Addendum from time to time to reflect changes in applicable law, technology, or the Services.
The latest version will be published on Manatal’s website and will become effective in accordance with the applicable agreement.
